This End User Licence Agreement (the “Agreement”) governs your download, installation, activation and use of VOXSPLIT PRO, including its AAX, VST3 and Standalone versions, related models, documentation and updates supplied by Limited Edition Audio (collectively, the “Software”).
The Software is licensed by Limited Edition Audio, a French single-shareholder simplified joint-stock company (SASU) with share capital of EUR 1,000, registered with the Evry Trade and Companies Register under number 107 566 036, VAT identification number FR 72 107 566 036, whose registered office is at 35 boulevard Saint-Michel, 91600 Savigny-sur-Orge, France (“Limited Edition Audio”, “we”, “us”). The Moonbase entity identified as seller at checkout and on the receipt acts as reseller and Merchant of Record for the sales transaction; the Software itself is licensed to you by Limited Edition Audio under this Agreement.
You accept this Agreement by selecting the acceptance option presented during checkout or installation. If you do not agree, do not install, activate or use the Software. Downloading, installing or using the Software does not, by itself, waive any acceptance, information or withdrawal formality required by mandatory consumer law.
You must have legal capacity to enter into this Agreement. If you use the Software on behalf of a company or other organisation, you confirm that you have authority to bind that organisation, and “you” includes that organisation.
Subject to payment of the applicable fee and continued compliance with this Agreement, Limited Edition Audio grants you a personal or internal-business, non-exclusive, worldwide, perpetual licence to install and use the Software for professional and personal audio production. The Software is licensed as a single licence, for use on one computer at a time, through one authorised iLok activation location.
You may use audio results created with the Software in commercial productions and deliver those results to clients. No ownership of the Software, its source code, models or other components is transferred to you.
A trial licence is provided solely for evaluation and compatibility testing. Unless a different duration is expressly displayed when the trial is issued, it expires seven (7) days after activation. The trial is limited to one per user and/or iLok account. You must not reset, extend, duplicate or otherwise circumvent the trial period. Trial licences may not be transferred.
The Software uses the PACE/iLok licensing system. A free iLok account is required. Licence activation is available through an iLok USB dongle or an iLok Cloud session, according to the activation locations enabled for the licence. Use of the Software may require an internet connection to activate or validate the licence. Activation and licence management are also subject to the applicable PACE/iLok terms and technical requirements.
You are responsible for maintaining access to your iLok account, devices and credentials. You may move the activation between enabled locations using the permitted iLok procedures, provided that the Software remains in use on only one computer at a time.
You may request a permanent and complete transfer of all of your rights under this Agreement to a third party, provided that the paid licence is eligible for transfer in the iLok configuration, you transfer the Software and this Agreement and retain no copies, the associated iLok licence is transferred through the applicable iLok process, and the recipient agrees to be bound by this Agreement. PACE/iLok may charge a transfer fee displayed by PACE. Contact us before relying on a transfer so that we can confirm the licence's technical eligibility. This paragraph does not limit any transfer right that cannot lawfully be excluded.
Except where mandatory law expressly permits otherwise, you must not:
You retain all rights you hold in audio files submitted to the Software and in the resulting audio outputs. You are responsible for having all permissions necessary to process that material.
VOXSPLIT PRO performs audio processing locally on your machine. The Software does not upload your audio to Limited Edition Audio for processing. Internet access may nevertheless be required for licence activation, validation, updates or support services.
The Software may include or interact with third-party components governed by their own notices or licence terms, including PACE/iLok technology and FFmpeg, which is distributed under the GNU Lesser General Public License, version 2.1 or later. Those terms and the Third-Party Notices supplied with the Software apply to the relevant components. AAX and Pro Tools are trademarks or registered trademarks of Avid Technology, Inc. or its subsidiaries; their mention does not imply endorsement.
Nothing in this Agreement limits rights granted directly by an applicable third-party open-source licence. In particular, the restrictions in this Agreement do not apply to a third-party component to the extent that its applicable open-source licence expressly permits reverse engineering, modification, replacement, relinking or redistribution of that component.
Updates may be provided from time to time. Unless accompanied by separate terms, updates form part of the Software and are governed by this Agreement. A perpetual licence does not guarantee that every future operating system, computer, host application or hardware configuration will remain supported indefinitely.
Current compatibility information and support channels are published on the Site. You are responsible for verifying the system requirements, and the trial is provided to help you test compatibility before purchase.
The Software is licensed, not sold. Limited Edition Audio and its licensors retain all rights, title and interest in the Software, its technology, design, documentation, trademarks and all related intellectual property. If you voluntarily provide feedback, you grant us the right to use it without restriction or compensation, without identifying you publicly unless you consent.
Personal data associated with purchases, customer accounts, support and licence activation is handled as described in our Privacy Policy and, where applicable, the policies of Moonbase and PACE/iLok.
The Software is a specialised audio-processing tool and results may vary according to the recordings, settings and workflow used. We do not guarantee a particular artistic, editorial or technical result.
For business users, and to the maximum extent permitted by law, the Software is provided “as is” and “as available”. For consumers, nothing in this Agreement excludes or limits any mandatory statutory rights, including any applicable legal guarantee of conformity for digital content or digital services.
The Moonbase entity identified as seller at checkout and on the receipt is the reseller and Merchant of Record for the transaction. Without prejudice to any responsibility that mandatory law assigns to the seller, Limited Edition Audio handles product support and post-delivery product issues. Product requests may be sent to support@limitededitionaudio.com; payment, invoice and refund processing is handled by Moonbase.
A consumer has two years from supply of the digital content or digital service to invoke the legal guarantee of conformity if a lack of conformity appears. During the first year after supply, the consumer only has to establish that the lack of conformity exists, not the date on which it appeared.
The legal guarantee requires all updates necessary to maintain conformity.
The legal guarantee entitles the consumer to have the digital content or service brought into conformity without unjustified delay, free of charge and without major inconvenience.
The consumer may keep the digital content or service and obtain a price reduction, or may terminate the contract and obtain a full refund in exchange for giving up the digital content or service, if:
The consumer is also entitled to a price reduction or termination of the contract where the lack of conformity is so serious that immediate price reduction or termination is justified, without first having to request conformity. Where the lack of conformity is minor, the consumer is entitled to cancel the contract only if the contract does not provide for payment of a price.
Any period during which the digital content or service is unavailable for the purpose of bringing it into conformity suspends the remaining guarantee period until it is supplied in conformity again.
These rights arise under Articles L.224-25-1 to L.224-25-31 of the French Consumer Code. A professional who in bad faith obstructs implementation of the legal guarantee of conformity may incur a civil fine of up to EUR 300,000, which may be increased to 10% of average annual turnover (Article L.242-18-1 of the French Consumer Code).
The consumer also benefits from the legal guarantee against hidden defects under Articles 1641 to 1649 of the French Civil Code for two years from discovery of the defect. This guarantee entitles the consumer to a price reduction if the digital content or service is retained, or to a full refund in exchange for giving it up.
To the maximum extent permitted by applicable law, Limited Edition Audio shall not be liable for indirect, incidental, special or consequential loss, loss of profit, revenue, business, opportunity or data, or production delays arising from use of or inability to use the Software.
For business users, our total aggregate liability arising from the Software or this Agreement shall not exceed the amount paid for the relevant licence. These limitations do not apply to liability that cannot lawfully be excluded or limited, including fraud, wilful misconduct, gross negligence, death or personal injury where applicable, or mandatory consumer rights.
This Agreement remains in force until terminated. Your trial licence terminates automatically when the trial period expires. We may terminate a licence if you materially breach this Agreement and, where the breach can be remedied, fail to remedy it after notice within a reasonable period.
Upon termination, you must stop using the Software, deactivate the licence where possible, and delete all copies in your possession or control. Provisions that by their nature should survive termination remain in effect.
You must comply with applicable export-control, trade-sanctions and import laws. You confirm that you are not prohibited from receiving or using the Software under such laws.
This Agreement is governed by French law. If you are a consumer, this choice does not deprive you of mandatory protections provided by the law of your country of habitual residence, and you may bring proceedings before any court available to you under mandatory consumer law. Business disputes are subject to the jurisdiction of the competent French courts.
If any provision is held invalid or unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver. You may not assign this Agreement except through the permanent and complete transfer expressly permitted under Section 4; we may assign it as part of a merger, reorganisation or transfer of the relevant business. This Agreement, together with the terms presented at checkout and any applicable mandatory law, constitutes the agreement governing your use of the Software.
This Agreement may be provided in English and French, and both versions are intended to have the same legal effect. For a consumer, the version presented and accepted in the language of the transaction applies, subject in all cases to mandatory consumer protections. Any inconsistency must be interpreted so as to preserve those mandatory rights; no version is treated as a merely non-binding translation.
In accordance with the French Consumer Code provisions concerning consumer dispute mediation, after first contacting us and if you do not receive a response that satisfies you, you may use the following consumer mediation procedure free of charge:
